CONDITIONS OF SALE

(pursuant to Chapter I, Title 3, Part 3 of Legislative Decree 206/2005 as amended and supplemented)

1. PREMISE AND EFFECTIVENESS OF THE GENERAL CONDITIONS

The purpose of these general conditions of sale (hereinafter, “General Conditions”) is to regulate the purchase of products and services, made at a distance and made available, via the Internet, from the site https://www.coprikompatt.com/ (hereinafter, the “Site”) in accordance with Italian legislation under Legislative Decree 206/2005 and subsequent amendments and additions (hereinafter, “Code of Consumption”).

The consumer who accesses the Site to make purchases (hereinafter “Customer”) is required, before sending the order, to read carefully these General Conditions that have been made available to him on the Site.

In the event that the person who makes purchases on the Site requires the issuance of an invoice and/or is otherwise not a “consumer or user” as defined in art. 3, paragraph 1, letter a), of the Consumer Code, the rules on withdrawal in art. 7 and 8 of these General Conditions or, more generally, the provisions that under the same Consumer Code apply only to “consumers” will not apply.

Contracts concluded with Coprikompatt through the Site are governed by these General Conditions in compliance with Italian law.

2. CHOOSING AND ORDERING PRODUCTS

The characteristics and price of the various products for sale on the Site (hereinafter “Product” or “Products”) are shown on the page relating to each Product.

In order to purchase the Products, the Customer must complete and submit the order form in electronic format, following the instructions contained in the Site. The Customer shall add the Product to the “Shopping Cart” and, after having read the General Conditions and Privacy Policy and confirmed their acceptance, shall enter the shipping and possible billing information, select the desired payment method and confirm the order.

By submitting the order from the Site, which has the value of a contractual proposal, the Customer acknowledges and declares that he/she has read all the information provided to him/her during the purchase process and fully accepts these transcribed General Terms and Conditions and Payment Policy. Coprikompatt’s receipt of the contract proposal is confirmed by a special summary email.

Following confirmation of receipt of the contract proposal, the customer has 2 hours to vary the submitted order by giving immediate notice to the email address: commerciale@coprikompatt.com .

Once the 2 hours have elapsed, the order will be put into production and therefore will no longer be modifiable by the customer. Once the order has been received, it will verify the availability of stock for the fulfillment of the order itself (in case the purchased product is out of stock, the verification will concern the presence in stock of the necessary quantity…). In the event that one or more Products are not available, Coprikompatt will send timely notice by email to the Customer who, within the next 12 hours, will have the right to respond to confirm the shipment of any additional Products available or cancel it. In case of no response within this period, the order will be considered confirmed and the available Products will be put into shipment. In such case, the full amount related

to the missing Products will be reversed or otherwise, depending on the payment method chosen, will not be charged to the Customer.

The contract entered into between Coprikompatt and the Customer shall be deemed concluded upon Coprikompatt’s acceptance of the order. Such acceptance is communicated to the Customer by means of an email confirmation of shipment of the order itself containing a reference to these General Terms and Conditions, the order number, shipping and billing information, a list of the Products ordered with their

their essential characteristics and the total price, including delivery charges.

Other emails, sent before the shipment of the products, are not to be considered as acceptance, implicit or explicit, of the order.

3. PRODUCT INFORMATION

Information and features relating to the Products are available on the Site.

The depiction of the Products on the Site, where available, normally corresponds to the photographic image accompanying the description sheet. It is understood that the image of the Products themselves is for the sole purpose of presenting them for sale and may not be perfectly representative of its characteristics and quality but may differ, for example, in color and size. In case of difference between the image and the written product sheet, the description of the product sheet shall always prevail.

4. PRICES AND SHIPPING

Product prices include all taxes and duties. All prices are in Euros. Shipping costs are determined by the system and shown to the customer before payment.

5. METHODS OF PAYMENT AND BILLING
5.1 METHODS OF PAYMENT

The Customer may make payment of the price of the Products and related delivery charges by PayPal.

Once the order has been confirmed, the Customer will be redirected to PayPal’s website where he/she can make payment with his/her account or by using a card, including a prepaid card, or otherwise in the manner accepted by PayPal and in accordance with its terms.

5.2 INVOICING OF ORDERS

If the purchase is made by a VAT holder, it will be possible to request the issuance of an invoice by sending the billing information including tax code, VAT number, company name, name, address and SDI code to commerciale@coprikompatt.com. In this case, the invoice will be sent via email to the address indicated. The VAT number holder is responsible for the correct entry of the billing data and is expressly informed that if the invoice is not requested when ordering, it will not be possible to request it later.

6.TRANSPORT AND DELIVERY

Products purchased on the Site will be delivered to the address indicated by the Customer during the purchase process in the appropriate “Shipping Information” field.

All purchases will be delivered by normal postal service or by express courier (hereinafter, “Courier”) from Monday to Friday, excluding holidays and national holidays. Coprikompatt is not responsible for delays that cannot be foreseen or attributed to it.

In the case of untracked shipments, Coprikompatt shall not be liable for any loss of the shipped package.

Once the Products have been shipped, the Customer will receive a confirmation email.

In any case, except in cases of force majeure or unforeseeable circumstances, the ordered Products will be delivered within a period of five working days from the day following the day Coprikompatt confirmed the order to the Customer by means of the appropriate order confirmation email.

Active delivery services in Italy:

Bartolini S.p.a

The conditions relating to such transportation can be found on the website of Bartolini S.p.a, the service provider. In any case, Coprikompatt reserves the right to use other couriers at any time in the event that the service offered by such couriers is more efficient and effective.

7. RIGHT OF WITHDRAWAL

The Customer has the right to withdraw from the purchase contract for any reason whatsoever, without the need to provide explanations and without any penalty, except for the cases of exclusion explicitly provided for in point IV below. To exercise this right, the Customer must send Coprikompatt a written notice within 14 days from the date of receipt of the Products. If it intends to exercise the withdrawal before having received the Products, the notice of withdrawal may be sent at any time prior to their receipt.

Such notice shall be sent by registered letter with return receipt, addressed to:

Coprikompatt will provide, once received the communication, to open a file for the management of the return and communicate to the Customer instructions on how to return the Products.

The right of withdrawal is governed by the following conditions:

  1. The right applies to the Product purchased in its entirety; therefore, if the Product is composed of several components or parts, it is not possible to exercise the withdrawal only on partof the purchased Product.

  2. In case of exercise of the right of withdrawal Coprikompatt will refund the customer the full amount of the returned goods, excluding shipping costs where applicable and net of the return costs which are the sole responsibility of the customer, within 14 days from the date of receipt of the notice of withdrawal, without prejudice to the right of Podere La Branda to suspend the payment of the refund until the actual receipt of the goods. The refund will be made using the same method of payment used by the Customer.

    III. The Products must be returned in the same box in which they were received undamaged and without damage.

    1.  In addition to the cases indicated in the Foreword (non-consumer customer and/or requesting an invoice), the right of withdrawal is excluded in the following cases, pursuant to Article 59 of Legislative Decree 21/2014:

order of Products that are likely to deteriorate or expire quickly;

In cases of exclusion of the right of withdrawal, Coprikompatt will return the purchased Products to the Customer, charging the same for shipping costs.

8.RETURNS AND/OR REPLACEMENTS

The Customer has the right to return or replace a product if it does not conform to what was ordered. To exercise this right, the Customer must send Coprikompatt written notice within 14 days from the date of receipt of the Products.

Such notice shall be sent by registered letter with return receipt, addressed to:

Coprikompatt will, once received the communication, open a file for the management of the return or replacement and communicate to the Customer instructions on how to return or replace the Products.

The right of return or replacement is governed by the following conditions:

1.  The right applies to the Product purchased in its entirety; therefore, if the Product is composed of several components or parts, it is not possible to exercise the return or replacement only on part of the Product purchased.

2. Having ascertained the negligence on the part of Coprikompatt, in the event of exercise of the right of return, Coprikompatt will refund the customer the full amount of the returned goods including shipping costs where applicable, within 14 days from the date on which the notice was received, without prejudice to Coprikompatt’s right to suspend the payment of the refund until the actual receipt of the goods. The refund will be made using the same method of payment used by the Customer. In the event that the customer favors the replacement of the product, the return phase will follow the same procedure as above, no amount will be credited back to the customer and it will be at Coprikompatt’s expense to ship the replacement product.

3. Products must be returned in the same box in which they were received undamaged and undamaged.

9.WARRANTY AND CONFORMITY DEFECTS

In case of conformity defects of Products sold by Coprikompatt, the Customer should immediately contact Customer Service using the appropriate email address

commerciale@coprikompatt.com.

The legal warranties provided for in Articles 129, 130 and 132 of the Consumer Code shall apply to the sale of Products. The Customer has the right, at its option and provided that the type of the Product allows it, to the restoration, without charge, of the conformity of the Product by repair or replacement, or to an appropriate price reduction or termination of the contract. The Customer shall forfeit these rights if he does not report the lack of conformity to Coprikompatt within the term of two months from the date on which he discovered the defect, provided that the Product in question is not by its nature is perishable or subject to expiration in a shorter term, in which case the defect must be reported within such reduced term.

10. ERRORS AND LIMITATIONS OF LIABILITY

The information regarding the Products provided through the Site is constantly updated. However, it is not possible to guarantee the complete absence of errors for which therefore Coprikompatt cannot be held liable, except in cases of intent or gross negligence.

Coprikompatt reserves the right to correct errors, inaccuracies or omissions even after an order has been submitted, or to change or update information at any time without prior notice, without prejudice to the Customer’s rights under these General Terms and Conditions and the Consumer Code.

Except in cases of willful misconduct or gross negligence, any right of the Customer to compensation for damages or recognition of an indemnity, as well as any contractual or extra-contractual liability for direct or indirect damages to persons and/or property, caused by the non-acceptance or fulfillment, even partial, of an order, is excluded.

11. COMPLAINTS

Any complaints must be forwarded to Podere La Branda by registered mail with return receipt PEC to the following address:

The claim must be made within 7 days of receipt of the goods.

12. APPLICABLE LAW AND PLACE OF JURISDICTION

The contract of sale between the Customer and Coprikompatt is concluded in Italy and governed by Italian Law. For the resolution of disputes relating to the interpretation, execution or termination of these General Conditions or individual purchase orders if the Customer is a consumer under the Consumer Code, will be competent exclusively the court of his town of residence or domicile if located in the Italian territory; in all other cases, the territorial jurisdiction is exclusively that of the Court of Rome/Viterbo, any other competent forum is excluded.

Pursuant to Article 1341 of the Italian Civil Code, the Customer declares that he/she has read and specifically accepts the following articles of these General Conditions: 2, 5, 6, 7, 8, 9

Shipping and Delivery.

Delivery times for goods are approximate, expressed in business days.

Shipping costs will be applied according to the rates in effect with the courier company.

Incorrect delivery address or non-delivery

The customer is responsible for providing a correct and manned address in the order.  Generally the courier, after the first delivery attempt requires the recipient to establish a time anyway for the second and third attempts. After three unsuccessful attempts the package is returned to our premises. Under these circumstances Coprikompatt is not to be held responsible for non-delivery. Further attempts will be charged to the customer.

Changes in shipping rates

Our logistics service providers update their shipping rates on a regular basis. Coprikompatt strives to keep this page up-to-date, therefore, the above information and rates may change at any time without notice. Coprikompatt also reserves the right to cancel any order at any time without notice, before the goods are shipped to the customer, by refunding the full amount paid by the customer. In such case, nothing more will be due from Coprikompatt to the customer.

Returns

The Customer has the right to return or exchange a product if it does not conform to what was ordered (e.g., wrong color, size, or item). To exercise this right, the Customer must send Coprikompatt written notice within 14 days of receipt of the Products. Such notice shall be sent by registered letter with return receipt, addressed to:

Coprikompatt will, upon receipt of notice, open a file for the handling of the return or replacement and notify the Customer of instructions on how to return or replace the Products.

The right of return or replacement is governed by the following conditions:

  1. The right applies to the Product purchased in its entirety; therefore, if the Product is composed of several components or parts, it is not possible to exercise the return or replacement only on part of the Product purchased.
  2.
